1. GENERAL PROVISIONS

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between SELLEREB LTD ("Company", "we", "us"), a company registered in England and Wales, and you ("User", "you").

Company Information:

By registering for, accessing, or using the Sellereb web application, browser extension, or any related services (collectively, the "Service"), you declare that you have read, understood, and agree to be bound by these Terms.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICE.

2. ELIGIBILITY

The Service is designed for users who are eighteen (18) years of age or older. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this Agreement.

3. NATURE OF SERVICE AND NON-API DISCLAIMER

3.1. Automation Tool. Sellereb is a software-as-a-service (SaaS) tool designed to automate certain tasks for e-commerce sellers, such as product listing, stock and price monitoring, inventory management and order processing between marketplaces (e.g., from Amazon to eBay).

3.2. Non-API Operation and Stability. You acknowledge that parts of Sellereb operate through browser extensions and web automation methods ("Non-API") rather than official API partnerships with third-party platforms.

3.3. Hybrid Data Processing. The Service operates using a hybrid model. Some data is processed locally on your device (via the browser extension), and some data is processed on our cloud servers. You consent to this hybrid data processing structure.

4. NO AFFILIATION

SELLEREB LTD is an independent software provider. We are NOT affiliated, associated, authorized, endorsed by, or in any way officially connected with eBay Inc., Amazon.com Inc., or their subsidiaries or affiliated companies. The names "eBay" and "Amazon" and related names, marks, emblems, and images are registered trademarks of their respective owners.

5. ACCOUNT SUSPENSION AND RISK DISCLAIMER (STRICT)

PLEASE READ THIS SECTION CAREFULLY. THIS SECTION LIMITS OUR LIABILITY.

5.1. User Responsibility. You are solely responsible for your use of the Service and for complying with the terms of service, policies, and guidelines of any third-party platform you use (including but not limited to eBay and Amazon).

5.2. No Liability for Bans. SELLEREB LTD expressly DISCLAIMS ALL LIABILITY for account suspension, restriction, "flagging", termination, or loss of selling privileges on eBay, Amazon, or any other marketplace. We do not guarantee that the use of our automation tools will always comply with each third-party platform's policies.

5.3. Commercial Risk. E-commerce and dropshipping involve financial risks. Sellereb is a tool, not a profit guarantee. We are not liable for financial losses, purchasing errors, or pricing errors resulting from use of the Service.

6. SUBSCRIPTION, PAYMENTS, AND CANCELLATION

6.1. Payments. The Service is billed on a monthly subscription basis. Payments are processed securely through Stripe. SELLEREB LTD is the seller of record for all transactions and is responsible for billing, invoicing, and applicable tax compliance. You agree to provide current, complete, and accurate purchase and account information.

6.2. Payment Data. SELLEREB LTD does not collect, store, or have access to your credit card numbers, debit card numbers, or any other payment credentials at any time. All payment information is entered directly into and processed exclusively by Stripe's secure payment infrastructure. Sellereb only receives confirmation of your subscription status (active, cancelled, past due) from Stripe — never your financial data. All payment-related inquiries, including billing disputes, should first be directed to [email protected].

6.3. Free Trial. Where a free trial is offered to new subscribers, its duration and conditions are stated on the pricing page. If you do not cancel before the end of the trial, your subscription will automatically convert to a paid subscription and your payment method will be charged. You may cancel at any time during the trial from your account dashboard without being charged.

6.4. Auto-Renewal. Your subscription will automatically renew at the end of each billing cycle unless you cancel it from your account dashboard before the renewal date.

6.5. Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of the current paid period (or at the end of the free trial, if cancelled during the trial). You will not be charged again after cancellation takes effect.

6.6. Account Freezing. In justified circumstances, such as restriction of your eBay account, you may request that your Sellereb account be frozen. The duration and conditions of the freeze are at Sellereb's discretion. When the account is reactivated, the subscription days remaining at the moment of freezing continue from where they left off. Access to the Service and all automations are paused during the freeze.

6.7. Balance and AI Credits. Sellereb Balance and AI credits may only be used within the Service; they bear no interest and are non-transferable.

7. REFUND POLICY

Refund requests are handled in accordance with our Refund & Cancellation Policy.

7.1. Discretionary Refunds. All fees are non-refundable once access to the Service has been granted, except where required by applicable law. Refund requests are reviewed on a case-by-case basis at Sellereb's sole discretion.

7.2. Statutory Rights. If you are located in a jurisdiction that provides statutory withdrawal or refund rights (such as the UK or the EU/EEA), those rights apply in full and are not limited by these Terms. Nothing in these Terms limits or excludes any rights you may have under mandatory consumer law in your jurisdiction.

8. DATA RETENTION

When you cancel your subscription, we will retain your account data and store history for a grace period of 90 days for potential reactivation. After 90 days, all user data, including store history, settings, and end-buyer information, will be permanently deleted from our servers, except where retention is required by law (e.g., invoicing records).

10. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." SELLEREB LTD MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SERVICE OR THE INFORMATION, CONTENT, OR MATERIALS INCLUDED THEREIN.

11. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SELLEREB LTD, ITS OFFICERS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES SHALL NOT BE LIABLE FOR ANY DAMAGES, INCLUDING INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; OR (III) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL SELLEREB LTD'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO SELLEREB LTD IN THE LAST ONE (1) MONTH.

12. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law provisions. Any dispute arising from or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales. Where you act as a consumer, mandatory consumer protection rights of your country of residence remain unaffected.
